Terms & Conditions

​The following terms and conditions apply to all services offered by Kitchen-Finder FZ LLE.

 

By doing business with Kitchen-Finder FZ LLE (the Contractor), the Consumer or the Business (the Client), is hereby attesting to the fact that he / she has carefully read this agreement and all the terms and conditions found within.

 

Unless the Client requested an additional formal document or contract from the Contractor, anything exchanged over electronic correspondence channels is considered as contractual agreement.

Stated Prices

All prices stated on the website are in AED currency and include VAT @ 5%.

 

All prices stated are valid until 31.12.2022, subject to future change.

 

For any payments made directly through the Contractor’s website, a valid PAY PAL account is required, and payments have to be made in USD currency.

 

For exchange rates, visit https://www.centralbank.ae/en/fx-rates.

 

Additional transaction costs may occur when using the available payment gateway.

Accounts

To benefit from our services through the Contractor’s website, the Client will need to register for an account, therefore, the Client must create a user profile (Profile).

 

The Client agrees to provide true, accurate, and complete information on his / her Profile and all registration and other forms the Client accesses on the website or provides to us and to update his / her information to maintain its truthfulness, accuracy, and completeness.

 

When the Client registers for an account, and from time to time thereafter, the Client’s account will be subject to verification, including, but not limited to, validation against third-party databases or the verification of one or more official government or legal documents that confirm his / her identity, his / her location, and his / her ability to act on behalf of his / her business or on his / her own behalf on the Contractor.

The Client authorizes the Contractor, directly or through third parties, to make any inquiries necessary to validate his / her identity, his / her location, and confirms his / her ownership of his / her email address or financial accounts, subject to applicable law. When requested, the Client must timely provide us with complete information about himself / herself and his / her business.

All authorized users must be 18 years of age or older. The Client hereby represents and warrants that he / she are of adult age and competent to enter legally binding contracts, including these terms & conditions.

Online Purchase Agreement and Commencement of Works

After having signed up for an account with the Contractor, see also privacy policy, the Client has the option to purchase various services that are linked to fees through direct online payment on the Contractor’s website and / or other form of payment such as bank transfer against invoice.

 

In respect of each individual service (Service), the Client and the Contractor agree on a work scope and budget (Fee).

By clicking on ‘BOOK NOW’ for any of the consultancy or design service on the Contractor’s website, the Client accepts the respective services offered at the stated price.

The Contractor takes this as contractual agreement and commencement of official works, depending on the individually chosen Service.

Consultancy Services

The Client has the option to book a consultancy Service, 1 X Kitchen Consultancy for 60 min @ a Fee of 500 AED including 5% VAT, through the website of the Contractor or on direct enquiry basis.

The Service is conducted by a German industry professional, trained and specialized in German kitchens, and the Service is available in English only.

As for the process, after clicking on ‘BOOK NOW’, the Client has the option to select date and time for his purchased service. Upon selection, the Client will receive an e-mail notification with confirmation of booking along with invitation link. 

 

The consultation meetings are conducted online through zoom and / or other type of communication software at the specified date and time and is strictly limited to the allocated time slot.

 

If for any technical reason no connection can be established from Contractor’s side, the booking time will be altered and you as the Client will get notified accordingly. 

The consultancy Service for consumers has to be paid 100% in advance, whereas the consultancy Service for businesses is settled on monthly invoice basis against the number of provided hours of (every 25th of the month).

 

An e-mail with final invoice will be issued after completion of every Service.

Design Services

 

The Client has the option to book two different types of design Services, 1 X Kitchen Room Design @ a Fee of 2,000 AED including 5% VAT or 1 X Other Room Design @ a Fee of 1,250 AED including 5% VAT, through the website of the Contractor or on direct enquiry basis.

 

The Service is conducted by experienced industry professionals, trained and specialized in European kitchens, and the Service is available in English only.

As for the process, after clicking on ‘BUY NOW’, the Client will have to complete an online design quiz that will be made available in his / her site member account (and which filters the design requirements of the Client).

 

As part of the online design quiz, the Client is required to upload his room layout with clear dimensions as well as a reference image (which can be either from site or a preferred kitchen style that he / she likes).

 

Once completed, a comprehensive design output package will be made available in the Client’s account within 48 hours.

 

For consumers, the design output package comes in form of a full design presentation featuring a room plan, elevation(s), perspective(s), element list(s) and accessory list. It also provides specifications / dimensions of all products and materials used and that are related to cabinetry, worktops, appliances, sink & mixer taps as well as accessories.

 

For businesses, the design output package comes in form of a Zip files that includes room plan, elevation(s), perspective(s) and project specific design file (with details to be agreed upon).

 

It is technically not possible to have two active plans running at the same time per Client when booking through the website. A design quiz needs to be completed, downloaded, and deleted from the account first, before being able to access the next ‘subscription / plan / service’.

 

Sometimes, unforeseen circumstances or technical complications may increase the lead time for the design package output, for which The Contractor will notify the Client accordingly.

   

The Client hereby declares and understands that the Contractor can only provide its product and services to the best of its abilities based on provided input (e.g., the design quiz and uploads), and the Client will hold the Contractor and owner free from any liabilities.

 

The design Service for consumers has to be paid 100% in advance, whereas the design service for businesses is to be settled on monthly basis against invoice and against the number of provided design output packages (every 25th of the month).

 

An e-mail with final invoice will be issued after completion of every Service.

Marketplace Services

 

The Client has the option to book a 12-month (360 days) listing subscription Service to feature its brand and product solutions on the Contractor’s website marketplace (including unlimited no. of uploads and unlimited no. of changes per upload facilitated through the Contractor).

 

The listing subscription Service cost goes with majority share into paid advertising of the marketplace as well as the brand specific product solutions.

 

A product upload or brand specific product solution is also referred to as a Specialized Product Upload (SPU).

 

The listing subscription Service has to be paid 50% in advance on pro forma invoice basis and 50% balance on invoice basis after completion of service.

 

In order to further promote and boast the individual brand and SPUs, the Contractor can facilitate specific brand specific advertisement campaigns at an additional charge with budget to be agreed upon with the Client.

 

The Client also has the option to book a 12-month (360 days) banner subscription Service to feature its brand on the advertisement banners on all pages on the Contractor’s website marketplace, all customized if required.

 

The banner subscription service will be given on a first come, first serve basis.

 

The banner subscription Service has to be paid 50% in advance on pro forma invoice basis and 50% balance on invoice basis after completion of service.

An e-mail with final invoice will be issued after completion of every Service.

Training Service

 

The Client has the option to book two different types of training Services, one being focused on the training of installation teams, and one being focused on the training of sales & design teams.

 

The Service is conducted by German industry professionals, trained and specialized in German kitchens with final scope to be agreed, and the Service is available in English only.

 

The Service is provided offline (on-site) at the Client's premises worldwide, and the Service includes a maximum of 10 seats / participants per day, with a maximum of 8 hours of training per day in addition to 1 hour lunch break.

 

If the Service is conducted outside the UAE, flights + hotels + local transfers have to be covered in advance by the Client (with details to be agreed upon), and depending on geographic location as well as final scope of works, the Contractor recommends a minimum booking of 3 training days at a time.

 

The Service has to be paid 50% advance against pro forma invoice and 50% balance against invoice after completion of Service.

 

An e-mail with final invoice will be issued after completion of every Service.

Indemnities

 

The Client agrees to indemnify, defend, and hold harmless the Contractor and its affiliates, successors and assigns (and its and their representatives) from and against all claims, damages, liabilities, losses, settlements, costs, and expenses which arise out of or relate to:

 

  • Any dishonest, inaccurate, incomplete, fraudulent, negligent, wrongful, unlawful, or criminal act or omission by you in connection with your use of the services.

  • Any breach of the Agreement, including, without limitation, any use of the services that violates third party rights or applicable law committed by you or any other person accessing the marketplace using your Login or accessing the marketplace on your behalf; and

  • The use of any intellectual property created in respect of the services provided not contemplated by the Agreement or because of a breach of the Agreement.

  • Any act or omission of an End-User which results in a third-party claim against the Contractor; and

  • The indemnities set out here will survive termination of this Agreement for any reason.

Termination of Contract

The terms of this Agreement will continue to apply without limitation in duration. The Agreement will be effective from the time the Client’s begun to use the Contractor’s website (and its Services) and it will continue until terminated in accordance with the terms of this Agreement.

Without affecting any other right or remedy available, the Contractor may suspend or terminate this Agreement and any of Clients Accounts with immediate effect, if Client materially or repeatedly breach the terms of this Agreement, our Terms of Use, our Privacy Policy, any other agreement deemed incorporated by reference in this Agreement.

 

The Client shall not have the possibility to cancel any Service after (online) purchase and commencement of works.

Any existing payment obligations will continue until the Client discharges such obligation in full.

 

Termination of this Agreement will not affect any rights, remedies, obligations, or liabilities of the parties that have accrued up to the date of termination, including the right to claim damages in respect of any breach of this Agreement which existed at or before the date of termination.

Any provision of this Agreement that expressly or by implication is intended to come into or continue in force on or after termination of this Agreement shall remain in full force and effect.

Force Majeure

The Parties will not be liable for failures or delays in performing their obligations hereunder arising from any cause beyond their reasonable control, including without limitation, acts of God, acts of civil or military authority, fires, strikes, lockouts or labor disputes, epidemics, changes of governmental policy on foreign ownership or any other governmental restrictions, wars, terrorist acts, riots, earthquakes, storms, typhoons, tsunamis, volcanic eruptions, floods and breakdowns in electronic and computer information and communications systems and in the event of any such delay, the time for the Parties’ performance will be extended for a period equal to the time lost by reason of the delay which will be remedied with all due dispatch in the circumstances.

Intellectual Property

 

The Client acknowledges that:

All materials displayed or performed in relation to the Contractor’s website, or which may be made available for download (including, but not limited to text, logos, graphics, articles, photographs, images, illustrations, video, and layouts (also known as the “Content”), are protected by copyright.

 

At all times the Client will abide by all copyright notices, trademark rules, information, and restrictions contained in any Content accessed or received through the website, and shall not use, copy reproduce, modify translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell or otherwise exploit for any purposes whatsoever any Content, (i) without the express prior written consent of the Contractor (provided that The Client does not solely own and control the Content), and (ii) in any way that violates any third party right.

References of Kitchen & Appliance & Other Brands

 

The Contractor is an independent service solution provider. All photos on the website are either owned by the Contractor or the Contractor has its Client’s permission to use them. Information, products & services displayed and shared on our website are offered as a compilation of our own experience.

Data Protection

 

The Client agrees to their personal information being collected, used, and disclosed as set out in this clause and in our full Privacy Policy.

 

The Contractor will use all reasonable endeavors to ensure that personal information is treated securely and to prevent unauthorized access, collection, use, disclosure, copying, modification, disposal, or similar risks. Although the Contractor aims to create a safe, secure environment by trying to limit access of the platform to legitimate users, the Contractor cannot guarantee that unauthorized parties will not gain access.

To the extent permitted by applicable law, the Contractor expressly excludes any liability arising from any unauthorized access to Data. The Client must contact the Contractor immediately if he / she becomes aware of any unauthorized use of his / her account by anyone else or any other breach of security.

The Clients may review, edit, correct, or delete any personal information they submit to us, on written request and the Contractor will use reasonable efforts to honor such requests in a timely manner.

Governing Law

 

This agreement shall be governed by and construed in all respects in accordance with the Laws of the United Arab Emirates, and the UAE Courts shall have jurisdiction to decide any matter arising out of this agreement.

 

Should any one clause, or part of any clause, of this agreement be deemed to be against the Law, this shall in no way affect the entirety of this agreement.

Furthermore, the Parties agree that in said circumstances they shall make their best endeavors to achieve as closely as possible the aim of any clause, or part of a clause, that be deemed to be illegal.

 

Each of the terms and conditions of this Agreement operates separately. If any court or competent authority decides that any of the terms or conditions is unlawful or unenforceable, the remaining terms and conditions will remain in full force and effect.

To the extent permitted by law, this Agreement excludes all class-action suits, claims and proceedings.

Disclaimer

The Contractor shall not be held responsible for any kind of media or content published on the Contractor’s website and / or marketplace.

 

The Contractor hereby declares that he is aware that it is his / her responsibility to ensure that the contents of the website and / or marketplace do not breach any applicable law.

 

The Client hereby holds the Contractor and owner free from any liability that may emerge because of the work carried out in terms of said agreement as part of the marketplace and its related online advertisement activities.

 

It is not the Contractor’s intention to impersonate any brands and / or appointed partners and / or distributors and / or manufacturers.

 

The Contractor may transfer its rights and obligations under this Agreement to another organization, but this will not affect your rights or obligations under this Agreement. The Client may only transfer your rights or obligations under this Agreement to another person if agreed in writing.
